Orbia is hiring for a Orbia Assistant General Counsel / Projects and Government Contracting to work remotely in the United States! Preferred cities include, Houston, TX., Chicago, IL., Atlanta, GA.

 

Job Summary/ Purpose

The Orbia Legal Department is searching for a highly experienced attorney to support complex commercial projects, particularly large capex projects. The role requires substantial experience negotiating and drafting commercial contracts, engineering, procurement & construction (EPC) contracts, including in projects that involve US government funding and particularly U.S Department of Energy transactions. This position will serve all Orbia’s businesses depending on priority needs for Orbia. 

 

Main Responsibilities

  • Working day-to-day with large project teams, supporting requests for strategic legal advice relating to the project, including contract negotiations and drafting.
  • Leading the negotiation and drafting of complex agreements, such as engineering, procurement, and construction (EPC) contracts and other project contracts. 
  • Leveraging significant expertise in US government (especially Department of Energy) grant requirements to provide proactive and practical advice to engineering, procurement, and functional teams, and supporting compliance efforts in connection with those requirements in collaboration with the project team. 
  • Reviewing, negotiating, and drafting commercial agreements of all types. 
  • Analyzing a contract’s risk to the business and ensuring that the contracts meet company’s risk profile and the business unit’s objectives. 
  • Developing and maintaining business relationships with senior executive business team members, up through Orbia Executive VP, Senior VP, and VP levels, and engaging in cross-functional interactions (e.g., finance, tax, risk management) and collaboration to obtain relevant input for transactions and projects. 
  • Creating contract templates, clause banks, and involvement in other similar efficiency-improving projects for the business and its affiliates.

Minimum Qualifications:

  • Law degree from an ABA accredited law school in the United States. 
  • License to practice law in at least one state. 
  • A minimum of 15 years of professional experience in the relevant areas described above. 

Knowledge/ Experience Required

  • Substantial experience working with EPC contracts and related project agreements, especially in projects that involve US government funding.
  • Strong government contracting experience, with preference for Department of Energy grant work, including experience working cross-functionally to implement government contracting compliance requirements, such as US government flow down provisions and requirements is important.
  • Excellent contract drafting skills. An expert grasp of contract concepts, together with a strong ability to apply them practically. Superior analytical and organizational skills. 
  • A willingness and ability to accept a high level of individual responsibility. Comfortable with ambiguity and able to work in a fast-paced environment with multiple stakeholders. 
  • The ability to quickly understand business objectives of a transaction, identify important issues, and manage negotiations to achieve the business goals efficiently, timely, and in a cost-effective manner by anticipating, addressing, and creatively resolving legal issues. 
  • A deep commitment to compliance with applicable law and regulation, particularly in US government contracting, and a history of implementing legal and compliance processes and procedures.
  • The ability to communicate concisely and effectively both orally and in writing. 
  • Ability to analyze new law, regulation, and contract trends for potential impact on business unit goals and objectives. 
  • Ability to work autonomously as well as cross-functionally with other teams and to influence and build effective working relationships with individuals at all levels of the organization. 
  • Common sense, perseverance, and problem-solving ability. 
  • Ability to travel to business locations per business needs.

Relocation Sponsorship:

  • Flour and Energy Materials will not cover international/ national relocation.

The compensation for this position will typically range from $194,000 to $242,000 annually. The actual base pay offered to the successful candidate will be based on multiple factors, including but not limited to job-related knowledge/skills, experience, geographical location, and internal equity.

The compensation package may also include short and long-term incentive compensation.
